Terms and conditions (business to business)
Background
This agreement applies as between you, the user of this website or purchaser and QVIS Lighting & Security Limited, the owner(s) of this website. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the website. If you do not agree to be bound by these terms and conditions, you should stop using the website immediately.
No part of this website is intended to constitute a contractual offer capable of acceptance. The purchaser's order constitutes a contractual offer and our acceptance of that offer is deemed to occur upon our sending a dispatch email to the purchaser indicating that the order has been fulfilled and dispatched.
Definitions and interpretation
In this agreement the following terms shall have the following meanings:
| "Account" | Means collectively the personal information, payment information and credentials used by users to access paid content and/or any communications system on the website. |
| "Carrier" | Means any third party responsible for transporting purchased goods from our premises to customers. |
| "Content" | Means any text, graphics, images, audio, video, software, data compilations and any other form of information appearing on or forming part of this website. |
| "Goods" | Means any products that QVIS Lighting & Security Limited advertises and/or makes available for sale through this website. |
| "Service" | Means collectively any online facilities, tools, services or information made available through the website. |
| "Purchaser" | Means any person or business that buys goods from QVIS Lighting & Security Limited via this website. |
| "Website" | Means the website you are currently using and any associated sub-domains unless expressly excluded. |
Terms and conditions of sale
Important: Your attention is drawn in particular to clauses 9 and 10, which set out QVIS Lighting & Security’s liability under these terms and conditions.
1. Definitions
"QVIS Lighting & Security / we / us" means QVIS Lighting & Security Limited.
"Buyer / you" means the organisation, firm or company from whom orders are received.
"Products" means the range of lighting, CCTV and associated equipment supplied by QVIS Lighting & Security.
2. Quotes
Quotes issued by QVIS Lighting & Security do not constitute a formal offer and acceptance does not create a binding contract.
3. Orders, acceptance and cancellation
Orders represent an offer to purchase which is accepted only when goods are dispatched. All orders are subject to these terms and conditions unless otherwise agreed in writing.
No cancellation or amendment will be accepted unless received in writing at least three days before the notified delivery date. Special order or discounted products are non-cancellable.
4. Price of products
Prices are those in force at the date of dispatch and are exclusive of VAT, delivery and installation unless stated otherwise.
5. Product specification
The buyer must inspect products within 14 days of delivery and notify QVIS Lighting & Security in writing of any defects. Failure to do so constitutes acceptance.
6. Delivery
Delivery dates are estimates only. Time is not of the essence unless agreed in writing. Reasonable delivery charges may apply.
7. Risk and title
Risk passes on delivery. Title remains with QVIS Lighting & Security until full payment is received.
8. Payment
Payment is due prior to dispatch unless a credit facility has been agreed. Invoices must be paid within 30 days. Late payments may incur statutory interest.
9. Warranty
Products are warranted against defects in materials and workmanship for the period stated at dispatch. Warranty does not cover misuse, unauthorised modification or unpaid accounts.
10. Limitation of liability
QVIS Lighting & Security’s total liability shall not exceed the contract value of the products supplied. Liability for loss of profit, business or goodwill is excluded to the fullest extent permitted by law.
11. Returns procedure
Returns must be authorised in advance and returned in original condition. A restocking fee may apply.
12. Storage
Where delivery instructions are delayed, QVIS Lighting & Security may charge reasonable storage costs.
13. Design changes
Products may be supplied with minor design or specification changes without notice.
14. Intellectual property
The buyer shall notify QVIS Lighting & Security of any intellectual property claims and cooperate in defence where required.
15. Force majeure
QVIS Lighting & Security shall not be liable for failure to perform due to events beyond its reasonable control.
16. Governing law and jurisdiction
These terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
Disposal of electrical and electronic equipment
Trade customers are responsible for the disposal of non-household WEEE. Household customers should use designated collection facilities. Further information is available at www.recycle-more.co.uk.
